Kotak Mahindra and Citigroup Acquire 10.64% Stake in Home First Finance

In a significant secondary market transaction, Kotak Mahindra Bank and Citigroup have jointly acquired a 10.64% stake in Home First Finance Company, a fast-growing housing finance player catering primarily to affordable housing customers. The stake was purchased from Warburg Pincus-backed Orange Clove Investments, marking a strategic shift in the lender’s shareholding pattern. The deal underscores rising investor confidence in India’s affordable housing segment, buoyed by strong credit demand, government support for first-time homebuyers, and a resilient real estate recovery. Industry experts view the acquisition as a vote of confidence in Home First’s business model, growth trajectory, and operational resilience.

Strategic Investor Entry

The acquisition by Kotak Mahindra Bank and Citigroup comes at a time when India’s affordable housing market is witnessing robust growth. The transaction, executed via block deals, involved the sale of the 10.64% stake held by Orange Clove Investments, an affiliate of Warburg Pincus. With both financial giants now on board, Home First Finance gains access to stronger capital support, potential strategic synergies, and enhanced brand credibility in the financial services ecosystem.

Affordable Housing Sector Momentum

The deal reflects broader optimism in the affordable housing finance sector, which has benefited from rising urbanization, favorable demographics, and government-led initiatives such as the Pradhan Mantri Awas Yojana (PMAY). Home First Finance has positioned itself as a key player in this space, focusing on underserved customer segments, leveraging technology for efficient underwriting, and maintaining strong asset quality despite macroeconomic headwinds.

Growth and Financial Performance

Home First Finance has reported steady loan book growth and strong profitability in recent quarters, supported by low non-performing asset (NPA) levels and a high customer retention rate. Analysts suggest that the entry of Kotak and Citi could further strengthen the company’s funding profile, diversify its lender base, and provide strategic expertise for expansion into new geographies and product segments.

Market Outlook

With India’s housing demand projected to remain robust over the next decade, the presence of heavyweight investors positions Home First Finance to capture a larger share of the market. Industry watchers expect increased competition among housing finance companies but believe that players with strong governance, technology integration, and deep distribution networks—like Home First—will have a decisive advantage.
